Legal Disclaimer

Complete terms governing APEX AI service engagement. Read carefully before subscribing.

1. Intellectual Property & Work Product Vesting

All optimizations, content, code, configurations, and improvements made by APEX AI to client properties—including but not limited to schema markup, content enhancements, technical configurations, automation integrations, and algorithmic optimizations—constitute the work product of APEX AI.

Critical: Intellectual property rights to these optimizations and improvements vest with the client ONLY after 12 consecutive months of active, uninterrupted subscription without cancellation.

If a client cancels the subscription prior to completion of 12 consecutive months, APEX AI retains the full right to:

  • Remove all optimizations made during the engagement
  • Revert configurations to pre-optimization state
  • Disable or deactivate all APEX AI implementations
  • Recover proprietary code and methodologies

This provision is non-negotiable and applies universally to all engagements.

2. Right to Remove Optimizations Upon Cancellation

Upon service cancellation, APEX AI expressly reserves the right to remove, revert, or disable all changes, content, configurations, schema markup, technical optimizations, automation rules, integrations, and any other modifications made to client properties during the service engagement.

Client acknowledges and agrees that these modifications are:

  • Inseparable from APEX AI's proprietary methodology
  • Created as work product under this agreement
  • Subject to APEX AI's ownership until the 12-month vesting period is satisfied
  • Not transferable without express written consent from APEX AI
Acknowledgment: Client agrees that removal of these optimizations may result in temporary performance fluctuations or ranking adjustments as properties revert to pre-optimization baselines.

3. Performance Guarantee Conditions

APEX AI's 90-day performance guarantee is expressly subject to the following mandatory conditions:

  • Client must not interfere with, modify, or override APEX AI implementations during the guarantee period
  • Client must maintain continuous, unrestricted access to all required third-party platforms (AI platforms, analytics tools, content management systems, etc.)
  • Client must not make unauthorized changes to optimized properties or properties subject to APEX AI methodology
  • Client must cooperate fully with APEX AI monitoring and optimization activities
  • Client must maintain active subscription status without interruption
Scope of Guarantee: Performance guarantee covers "measurable improvement" in visibility metrics and algorithmic performance indicators, NOT specific rankings, revenue numbers, lead generation targets, or business outcomes.

Failure to meet any of these conditions voids the guarantee entirely.

4. No Outcome Guarantees

APEX AI explicitly does NOT guarantee:

  • Specific search engine rankings or position improvements
  • Revenue generation or sales increases
  • Lead generation volume or quality
  • Business outcomes, conversions, or ROI
  • Specific traffic metrics or visitor behavior
  • Platform algorithm behavior or changes
  • Third-party service performance or availability

Results vary substantially based on industry vertical, competitive landscape, market conditions, platform algorithm changes, macroeconomic factors, and variables outside APEX AI's control. Historical results do not guarantee future performance.

Client Responsibility: Client assumes all risk related to business outcomes. APEX AI's role is optimization delivery; business results depend on market conditions, client execution, and factors beyond optimization alone.

5. Indemnification

Client agrees to indemnify, defend, and hold harmless APEX AI, its officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising from:

  • Client's business operations, industry conduct, or business practices
  • Accuracy, legality, or compliance of client-provided content
  • Industry-specific regulatory or compliance requirements applicable to client's business
  • Third-party intellectual property claims related to client content or business
  • Client's use or misuse of APEX AI services
  • Client's violation of third-party platform terms of service
  • Client's breach of applicable laws or regulations

This indemnification obligation survives service termination indefinitely.

6. Anti-Gaming Provisions

APEX AI's service is designed for continuous, long-term engagement. APEX AI actively monitors for pattern abuse and unsustainable engagement patterns, including:

  • Rapid sign-up followed by early cancellation (within 90 days)
  • Multiple accounts from same entity with identical cancellation patterns
  • Extraction of optimizations followed by immediate cancellation
  • Systematic implementation of APEX AI methodology for client-independent deployment
Enforcement: APEX AI reserves the right to decline service to prospective clients, terminate service for existing clients displaying pattern abuse, and enforce remedies including IP removal and platform restrictions.

Clients engaging in abusive patterns may be permanently restricted from APEX AI services.

7. Data & Privacy

APEX AI collects and processes performance data, analytics metrics, platform data, and optimization records as part of service delivery. This data includes:

  • Performance metrics and visibility indicators
  • Platform analytics and tracking data
  • Optimization implementation details
  • Client engagement and subscription metrics

This data is used to:

  • Improve and refine APEX AI services
  • Monitor service performance and client outcomes
  • Develop proprietary benchmarking and analysis tools

Aggregate, anonymized data may be used for industry benchmarking, case studies, and service improvement research. Individual client data will not be identified without express written consent.

8. Limitation of Liability

APEX AI's total liability under this agreement, for any claim arising from any cause whatsoever, is limited to the total fees paid by the client in the preceding three (3) calendar months.

Exclusion: APEX AI is NOT liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunity, lost goodwill, or reputational harm, even if APEX AI has been advised of the possibility of such damages.

Some jurisdictions do not allow limitation of liability; to the extent permitted by law, this limitation applies.

9. Dispute Resolution & Governing Law

All disputes, claims, or controversies arising from or related to this agreement, APEX AI services, or client engagement shall be exclusively resolved through binding arbitration.

  • Arbitration shall be conducted under rules established by JAMS (Judicial Arbitration and Mediation Services)
  • Arbitration shall take place in the State of Delaware
  • Costs of arbitration shall be split equally between parties unless arbitrator determines otherwise
  • Class actions, class arbitrations, and representative actions are expressly prohibited
Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

10. Service Modification Rights

APEX AI reserves the right to modify, adjust, or enhance service scope, features, functionality, and underlying methodology at any time, in its sole discretion.

Modifications that materially reduce service scope or functionality will be communicated to affected clients a minimum of 30 days in advance, with opportunity to cancel without penalty.

Continuous improvements, enhancements, and feature additions do not require advance notice.

11. Third-Party Platform Independence

APEX AI is not responsible for, and expressly disclaims liability for, changes made by third-party platforms including but not limited to:

  • ChatGPT, OpenAI, or any other AI platform algorithm changes
  • Perplexity, Google, Bing, or search platforms ranking algorithm modifications
  • Platform policy changes affecting visibility or performance
  • Platform outages, downtime, or service interruptions
  • Deindexing, ranking penalties, or algorithmic suppression by third-party platforms
  • Changes to platform-specific tools, APIs, or integrations
Acknowledgment: Platform changes are entirely outside APEX AI's control. APEX AI optimizes within existing platform parameters; APEX AI is not responsible for platform decisions or changes affecting performance.

12. Acceptance & Effective Date

By subscribing to APEX AI services, client explicitly acknowledges, agrees to, and accepts all terms contained in this Legal Disclaimer.

This disclaimer is effective as of the client's subscription date and remains in effect for the duration of the engagement and beyond, as specified herein.

Client's continued subscription constitutes ongoing acceptance of these terms.

Last Updated: March 2026. APEX AI reserves the right to update these terms. Updated terms become effective upon posting; client assumes responsibility for reviewing updates regularly.
